Fund Structure


WBC LPF (Limited Partnership Fund) is established under Hong Kong’s Limited Partnerships Fund Ordinance (Chapter 637). It comprises a General Partner (GP) and Limited Partners (LPs). The GP is responsible for the day-to-day operations, investment decisions, and asset management of the fund and bears unlimited liability for the fund’s debts. The LPs contribute capital, with their liability limited to the amount of their respective contributions. They do not participate in daily management but are entitled to profit distributions and have oversight rights regarding the fund’s assets. This structure provides the GP with full investment flexibility and execution efficiency while offering LPs clear legal protection and well-defined liability boundaries.


Governance and Division of Responsibilities


The governance framework clearly defines the roles of each party. The General Partner (GP) is a team of professionals with extensive cross-sector experience in finance, property, and education, responsible for end-to-end management, including deal sourcing, acquisition negotiations, refurbishment, leasing and operations, and capital exit strategies. The fund has an investment committee composed of experienced professionals from various fields, which provides independent review and risk assessment of major investment decisions. Limited Partners (LPs) stay informed of the fund’s performance through annual general meetings and periodic reports and may vote on significant matters concerning the fund’s term or structural changes.


Investment Decision-Making Process


The fund adheres to a disciplined investment process. Deal flow originates from proactive sourcing by the team, referrals from strategic partners, and market-wide competitive bids. Following the initial screening, the investment committee conducts thorough due diligence and financial modeling, evaluating factors such as property location, projected renovation costs, leasing demand, and expected returns. Projects that receive internal approval undergo legal and compliance reviews to ensure alignment with the Limited Partnership Agreement and relevant regulatory requirements before proceeding to closing. The post-investment management team then manages asset refurbishment, tenant sourcing, and ongoing operations, providing regular performance reports to investors.


Custody and Financial Transparency


Fund assets are held by an independent custodian, ensuring capital safety and regulatory compliance. The fund manager produces quarterly financial reports detailing the asset portfolio, operational income, operating expenses, and changes in net asset value. Annual financial statements are audited by a Hong Kong practicing accountant and disclosed to all limited partners (LPs). Additionally, the fund maintains a proactive investor communication program, hosting regular online or in-person briefings to share progress updates, address investor concerns, and uphold high standards of transparency and trust.


Risk Control


The fund operates a comprehensive risk control framework. Prior to investment, it conducts rigorous due diligence and stress testing to assess the impact of acquisition prices, renovation costs, and market rental fluctuations on projected returns. During operations, it diversifies property locations and tenant profiles to minimize exposure to any single market or tenant concentration. Additionally, the fund maintains appropriate property and public liability insurance to protect against unforeseen losses. From a compliance perspective, it strictly adheres to the Limited Partnerships Fund Ordinance and relevant anti-money laundering regulations, ensuring fully lawful operations. The General Partner (GP) provides Limited Partners (LPs) with regular updates on key risk issues and mitigation measures, safeguarding investors’ right to information and protecting their capital.
